We know it’s tempting to skip these Terms of Service, but it’s important to establish what you can expect from us as you use GoQR’s services and website, and what we expect from you.

1. Terms

The following terms and conditions govern all use of all GoQr’s websites (collectively, the “Website”) and all content, services, dashboards, and products contained or made available by GoQR or at or through the Website (“Services”). The Website and Services are owned and operated by GoQR and its affiliates (together, “GoQR,” or “we,” “our,” or “us”).By accessing or using the Website or Services, you agree to all of the terms and conditions contained herein, policies (including, without limitation, GoQR’s Privacy Policy), procedures and other terms and conditions that may be published or made available from time to time on the Website, through Services or otherwise by GoQR (collectively, the “Agreement”). We reserve the right, at any time, to modify, alter, or update this Agreement in sour sole discretion. Modifications will become effective immediately upon being posted on the Website, provided through Services, or otherwise. Your continued use of the Website or Services after modifications are posted or otherwise made available constitutes an acceptance of the then-current Agreement. We may additionally provide notice of such changes via email or through the Services but have no obligation to do so. If you do not agree to the amended Agreement, you must stop using our Website and Services. By accessing the website at goqr.co, you are agreeing to be bound by these terms of service, all applicable laws, and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law. We may supply different or additional terms in relation to some of our Services, and those different or additional terms become part of your Agreement with us if you use those Services. If there is conflict between this Agreement and the additional terms, the additional terms will control for that conflict.

2. Age requirements

If you’re under the age of 18, you must have your parent or legal guardian’s permission to use this website. Please have your parent or legal guardian read these terms with you. If you’re a parent or legal guardian, and you allow your child to use the services, then these terms apply to you and you’re responsible for your child’s activity on the services.

3. Service-related communications

To provide you with our services, we sometimes send you service announcements and other information. To learn more about how we communicate with you, see our Privacy Policy. If you choose to give us feedback, such as suggestions to improve our services, we may act on your feedback without obligation to you.

4. Use License

In no event shall GoQR or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on GoQR's website, even if GoQR or a GoQR authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

5. Accuracy of materials

The materials appearing on GoQR's website could include technical, typographical, or photographic errors. GoQR does not warrant that any of the materials on its website are accurate, complete, or current. GoQR may make changes to the materials contained on its website at any time without notice. However, GoQR does not make any commitment to update the materials.

6. Links

GoQR has not reviewed all the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by GoQR of the site. Use of any such linked website is at the user's own risk. The Services may contain hypertext links to websites and applications operated by parties other than GoQR. Such hypertext links are provided for User’s reference only, and GoQR does not control such websites and is not responsible for their content. GoQR’s inclusion of any hypertext links to such websites or applications does not imply any endorsement of the material on such websites or applications or any association with their operators. GoQR assumes no liability whatsoever for any such third-party websites, applications or any content, features, products, or services made available through such third-party websites or applications. Additionally the third party applications that you use to access the Service are not parties to this contract and we are not responsible for the provision or support of the Services in any manner. Your access to the Services using these devices is subject to terms set forth in the applicable third-party beneficiary's terms of service, including any license transferability and other usage rules therein.

7. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Germany and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

8. Billing and Renewal

GoQR charges and collects in advance for use of the Website and Services, as applicable. GoQR will automatically renew and bill your credit card or issue an invoice to you. Monthly subscriptions will be billed and are due on the first calendar day of every month. Any changes made to the account during the month (subscription, seats, any other add-ons) will be deducted in accordance with this Agreement or as otherwise agreed to in writing from the card on file immediately. Yearly subscriptions will be billed on each anniversary or as otherwise agreed to in writing. Any changes made to the account during the year (subscription, seats, any other add-ons) will be deducted in accordance with this Agreement or as otherwise agreed to in writing from the card on file immediately as an annual charge. All white-label dashboards are charged at time of setup will be billed on each subsequent anniversary or as otherwise agreed to in writing. Any changes made to the root domain/subdomain of a white-label dashboard will require a completely new dashboard setup and charged in full accordingly. The renewal charge will be equal to the then-current subscription and number of total seats and add-ons in effect during the prior term, unless GoQR has given you at least 14 days up to 30 days (in 1 calendar month) prior written notice of a fee increase, which will be effective upon renewal and thereafter. Additional fees for other Services will be charged as agreed to on a case-by-case basis. You agree to provide GoQR with complete and accurate billing and contact information. This information may include without limitation your legal name, company name (if applicable), street address, e-mail address, and name and telephone number of an authorized billing contact and authorized administrator. You agree to update this information promptly but in no event later than 30 days of any change to it. If the contact information you have provided is false or fraudulent, GoQR reserves the right to terminate your access to the Website and Services in addition to any other legal remedies. If you believe your bill is incorrect, you must contact us in writing within 10 days of the invoice date containing the invoice and amount in question to be eligible to receive an adjustment or credit. All adjustments and credits are determined GoQR in its sole discretion. Non-payment and Suspension. All GoQR invoices are issued and are due on the first calendar day of every month. In addition to any other rights granted to GoQR herein, GoQR reserves the right to suspend or terminate this Agreement or your access to and use of the Website and Services if your account becomes delinquent. You will continue to be charged for your subscriptions and any add-ons during any period of suspension. Upon such cancellation, you agree that all amounts owed, accrued, and contracted for will become immediately due and that GoQR will not be responsible for any data lost because of such cancellation. In the case of a delinquent invoice on a white-label dashboard, we will contact you via email informing you of such a delinquency. If no response is received or the white-label dashboard continues to be delinquent past the next billing cycle, it will be cancelled accordingly. In the event of a cancelled white-label dashboard due to non-payment, GoQR is not responsible for any data lost in this process. A new dashboard setup will be billed at the full amount at that time. You agree and acknowledge that GoQR has no obligation to retain your data, information, or Content (collectively, “Customer Data”) and that such Customer Data may be irretrievably deleted if your account is cancelled for any reason. If termination of this Agreement or your access to and use of the Website or Services occurs, all balances owed or due on your account will become immediately due and must be paid in accordance with this Agreement. You agree that GoQR may charge any such amount to your credit card or otherwise bill you for such unpaid amounts.

9. Intellectual Property

This Agreement does not transfer from GoQR to you any GoQR intellectual property, and all right, title and interest in and to such property will remain (as between you and GoQR) solely with GoQR. The GoQR logo, and all other trademarks, service marks, graphics, slogans, and logos used to identify GoQR, the Website or Services are trademarks or registered trademarks of GoQR or GoQR’s licensors. Other trademarks, service marks, graphics, slogans, and logos used on the Website or in Services may be the trademarks of other third parties. Your use of the Website and Services grants you no right or license to reproduce or otherwise use any GoQR or third-party trademarks. All trademarks and trade names are the property of their respective owners. GoQR reserves the right to remove any Content or Third-Party Materials that breach this Agreement.

10.Advertisements

GoQR reserves the right to display advertisements and other Content on your page without any payment or any other consideration to you.

11. Attribution

GoQR reserves the right to display attribution links such as ‘Powered by GoQR,’ theme author, font and image attribution, credits, and other similar statements and disclosures in and on your page. Certain Credits, as determined by GoQR at its sole discretion, may not be removed regardless of upgrades purchased.

12. Domain Names

If you are registering a domain name, using, or transferring a previously registered domain name, you acknowledge and agree that use of the domain name is also subject to the policies and laws applied to the country the domain is registered, (for European countries that is EURid certified by the ISO27001  security standard since 2013), including their Registration Rights and Responsibilities. GoQR reserves the right to remove any domain or subdomain integration that breaches this Agreement.
